Speaker Terms

Thank you for agreeing to share your ideas and expertise (your speaker services) with VGS and the payment industry at Agent Connect (our event). Agent Connect brings together builders, product leaders, and payments innovators shaping agentic commerce. What you present at Agent Connect (your content) will have the most impact when it's amplified across multiple platforms so it can be used to grow other ideas. Our aim is to make that happen while also amplifying your thought leadership. To do that successfully, we need a few commitments from you. When we refer to 'you' or 'your' here, we mean you, the speaker at our event. When we refer to 'we', 'us' or 'our' here, we mean Very Good Security, Inc (“VGS”).

You acknowledge you are receiving significant benefits (e.g. networking, professional exposure, reputational enhancement and content amplification) free admission for yourself and one other individual of your choice from this opportunity to present your content at our event. You acknowledge these benefits constitute adequate consideration, and in return you agree to provide your speaker services at our event in accordance with these Terms.

1. Term and Termination

This agreement begins once you accept these terms or begin your speaker services, whichever is earlier, and continues until your services are complete. Please note that we may terminate these terms or the event itself at any time via written notice.

2. Attendee Terms and Passes

You acknowledge and agree to comply with the Attendee Terms and Conditions in relation to the event, which can be found at [https://www.agentconnectsf.com/terms-of-service]. You will further comply with any event code(s) of conduct, or participant terms which are made available to you and apply to the event you are participating in. If there are any conflicts between these terms and the Attendee Terms these terms will prevail.

3. Representations and Warranties

Regarding your material, you make the following representations and warranties

  • You are an author of your content;
  • Your content is developed with skill and diligence and your presentation shall be conducted in a professional manner;
  • to the best of your knowledge, your content will be accurate and not misleading;
  • Your content will not include the intellectual property of a third party unless you have obtained permission to use such content here and you agree to provide us with a copy of such permission upon demand);
  • Your content will not contain confidential, proprietary or sensitive information of a third party;
  • where you provide content, or any information or materials supporting your content, to us, in a digital format, your content will not contain any malicious code;
  • Your content will not be defamatory, offensive, or harmful
  • Your content must reflect the content agreed with us, provided within the timelines communicated to you, and any changes to such content must be agreed in advance (with us retaining final approval of your content to be delivered at our event(s)); and
  • If your materials or talk is delivered on behalf of a business you have that business review these terms of this, including the rights and privileges you've given us here.

Selection as a speaker at Agent Connect does not constitute an endorsement by VGS. You acknowledge that VGS has not performed an independent assessment of your content. You retain full responsibility for your session, including any legal or third-party claims arising from your content.

You shall not do anything which may bring the event, any sponsor of the event or VGS into disrepute.

4. No subcontracting

If for any reason you are unable to perform your speaker services at our event, you shall immediately notify us, and this agreement shall terminate. We are not obliged to accept a replacement.

5. Personal Information

You give us permission, at no charge and without limitation, to:

  • Record your session in any medium (such as text, audio, photo, and video) (our recording), either directly or using third parties instructed by us to do so;
  • "On-Site Broadcast Only: To ensure every attendee has a front-row experience, your session will be live-streamed to screens throughout the event venue. Please note: this broadcast is for the local event audience only. We will not record or publish your session for external or public distribution without your prior consent.
  • Highlight Reels: While we will not publish the full-length session, you grant VGS the right to use short excerpts or 'highlight clips' from the event. These snippets will be used across our platforms to celebrate the event and amplify your key insights to the broader industry.
  • Use your name, voice, photograph, likeness, and biographical data with our event media.

You acknowledge that VGS—rather than any agent or third party—retains the exclusive right to record and photograph your session. Aside from our commitment to On-Site Broadcasting Only, you waive any ownership rights or claims to the recordings and photographs captured by us during the event.

Your personal information will be lawfully processed in compliance with our publicly available [Privacy Policy - https://www.verygoodsecurity.com/privacy-notice].

6. Licence

You own your content and the intellectual property rights therein. However, to amplify the impact of your content, you grant us an irrevocable, non-exclusive, worldwide, perpetual license, to use your content and derivative work (defined below) as follows at no charge:

  • Prepare derivative works (such as newsletters, online media, webinars, whitepapers, and similar forms of media) from your content in any present or future form;
  • Publish, display, reproduce, distribute, and quote your content and new work in any medium, including on social media (whether our own or others); and
  • Otherwise use your content for our lawful business purposes, including commercializing your content in any manner we see fit, without permission from, or compensation to, you (except as limited herein).

You unconditionally waive all moral rights that you may have anywhere in the world in your content and derivative work.

We are not obligated to exercise any of our rights above with respect to your content or derivative work. However, if we do, you acknowledge that we may use tools such as deep learning, machine learning and artificial intelligence to help.

7. Intellectual Property (IP)

7.1 Your IP: You retain ownership of your original ideas and materials.

7.2 VGS IP: VGS owns the rights to:

  • The Event Recordings and may use them for promotional and commercial purposes across various platforms. We may also utilize modern technological tools, including AI, to enhance, transcribe, or format these recordings; and
  • Distinct New Work created by us (e.g., event recaps, highlight reels, or synthesized insights). You agree that VGS may exercise exclusive rights over these derivative works and, where necessary, you assign any interest in such works to VGS to ensure clear title.

8. Distribution

You grant VGS the right to sublicense or transfer these distribution rights to our trusted partners, ensuring your thought leadership is amplified across the global payment ecosystem.

9. Claims; Indemnification

If we become subject to a legal claim relating to your content or your session, you will:

  • fully cooperate with us to defend against or otherwise respond to such claim; and
  • reimburse us for any losses, liabilities or expenses we suffer or incur from any such claim.

To the extent permitted by applicable laws, you waive, and will not bring or institute, any claims that you may have against us relating to our use of your content, derivative work, our recording or distinct new work in compliance with this agreement, including publicity rights, intellectual property infringement and misappropriation claims.

10. Confidentiality

Both you, and us, agree to keep all non-public information disclosed during the course of this agreement, strictly confidential. Confidential Information shall not be shared, used, or disclosed to any third party without prior written consent, except as required by law or necessary for the fulfillment of this agreement. This obligation shall survive the termination of this agreement.

11. General

11.1 Entire Agreement: These terms, together with the Submission Form, creates a legally binding agreement between you and us and reflects your and our entire understanding regarding the matters above. These terms supersede any previous agreements, arrangements and/or understandings (whether written or oral) between you and us.

11.2 Modification: You have carefully read and fully understand the terms of this agreement. This agreement cannot be modified or waived except in writing signed by us.

11.3 Liability: To the extent permitted by applicable laws, our maximum liability to you relating to this agreement, including concerning our event, your session, your content, new work, our recording and distinct new work, will not exceed USD $1,000.

You will not initiate or pursue any claim or action relating to this agreement against us one (1) year after the conclusion of your session.

11.3 Law and Jurisdiction: California law, and the courts of the State of California have exclusive jurisdiction to resolve any dispute relating to this agreement. You also knowingly, voluntarily and irrevocably waive your right to a trial by jury and any right to pursue any claim or action relating to this agreement on a class or consolidated basis or in a representative capacity.
